Executive Regulations of the Kuwait Companies Law (138 articles), issued by Ministerial Decision No. 287 of 2016 under Companies Law 1/2016. They detail company incorporation, the single window (al-nafitha al-wahida), definitions, capital and shares, general assemblies, auditors, disclosures, mergers and divisions, and dissolution. The issuing decision repeals the prior executive regulations (MD 425/2013 under Decree-Law 25/2012). Later amended by MD 496/2017 (adds Arts. 58 bis & 89 bis) and MD 598/2017 (adds Art. 122 bis). Ministerial Decision No. 496 of 2017 amends the Executive Regulations of the Companies Law (issued by MD 287/2016 under Law 1/2016 as amended by Law 15/2017). It inserts two new articles — Art. 58 bis (cash contributions of partners may be deposited within the first financial year after incorporation, per the financial statements filed with the Ministry) and Art. 89 bis (minimum capital of a joint stock company regardless of activity: KWD 10,000 for a closed company and KWD 25,000 for a public company, without prejudice to higher statutory minimums). Ministerial Decision No. 598 of 2017 amends the Executive Regulations of the Companies Law (MD 287/2016 under Law 1/2016 as amended by Law 15/2017, previously amended by MD 496/2017). It inserts a new Article 122 bis providing that — without prejudice to the conditional approvals required under Art. 219 of the Companies Law — an ordinary or extraordinary general assembly in the cases referred to may be validly convened merely by notifying the Ministry of the agenda, date and place at least seven days before the meeting, without filing financial statements or meeting other conditions.
